Due to the confidential nature of acquisition and divestiture transactions, the Undersigned will provide Associated Business Investment Corp. (ABIC) with appropriate resumes, financial qualifications, and references and agrees to the following conditions in consideration for receiving confidential information concerning Client No.

The Undersigned Prospective Purchaser(s) Hereby Agrees and Acknowledges:

1. To use the information provided solely for the purpose of evaluating the Business in order to determine whether to undertake negotiations for its purchase, as well as for the purposes of any subsequent negotiations.

2. For a period of three (3) years from the date hereof, to maintain all the information obtained from ABIC or Seller secret and confidential and, except as provided in paragraph 1, shall not use and shall not disclose directly or indirectly to any party, any of such information except when, after and to the extent such information (a) is or becomes generally available to the public, (b) was already known to the Undersigned on a non-confidential basis prior to disclosure, or (c) is subsequently disclosed by a third party not having an obligation of confidentiality.

3. The information obtained from ABIC or Seller shall be disclosed only to such employees or associates whose duties require the possession thereof and whose knowledge of the information is required to make an appropriate analysis of the Business.

4. In the event ABIC authorizes the inspection of the Business facilities which employ technical information and know-how used in the Business, the Undersigned agrees to observe the same confidentiality and use restrictions provided in paragraph 2.

5. To return all confidential documents and information if the Undersigned does not complete the transaction with the Seller and not to use any confidential information for any personal profit or in any other manner that would be detrimental to the Seller.

6. To assume all liabilities for damage resulting from any disclosure made by the Undersigned, their heirs, assigns, executors, administrators, or any legally authorized agents of the Undersigned. In the event of such disclosure, the Undersigned shall be liable for all damages incurred and hereby agrees to hold harmless and indemnify ABIC against any disclosures thus made. The Undersigned also acknowledges that they are not a representative, agent, or informant for any revenue collection agency.

7. Not to knowingly contact the owner(s), employees, suppliers, or creditors of the business for an unlimited duration unless authorized by Seller and/or ABIC.

8. To conduct all further inquiries, negotiations, purchase offers, and/or settlements to or about the said business exclusively through ABIC which is acknowledged to be the agency first providing such information to the Undersigned. Also, to structure any transaction in a manner which will assure that any fee due ABIC is to be both recognized and properly provided for in the purchase and sale documents and is complied with at closing.
